Typ 60 ist eine Gummi-Metall-Rohrverbindung zur
Unterbrechung von Ger.uschen und Oberfl.chenschwingungen
in Rohrleitungen, an Pumpen,
Maschinen und Apparaten.
Aufbau
Zylindrischer Gummipuffer mit einvulkanisierten Flanschringen zur
Aufnahme der Flanschbohrungen. Die Gummi-Metall-Rohrverbindung
ist selbstdichtend, daher sind keine zus.tzlichen Dichtungen erforderlich.
Einsatz
Hausinstallation, Krankenhaus und Schulen, in Heizungsanlagen und
im Wasser- und Hei.wasserbereich. Ferner einsetzbar für leichte
S.uren und Laugen im Industrieanlagenbau.
Material
Gummiteile EPDM ohne Einlagen
Andere Werkstoffe als EPDM werden nicht
verarbeitet.
WRG mit TüV-Eignungsbescheinigung zum Einsatz in
Heizungsanlagen mit 100°C/110°C und 10/6 bar liegt nur bei
Typ 60 WRG vor. Typ 60 WRG-2 ohne TüV-Bescheinigung.
Type 60 is a rubber-metal pipe joint for absorbing
noise and surface vibrations in pipings on pumps,
machines and apparatus.
Construction
Cylindrical rubber buffer with vulcanized flange rings to suit the flange
holes. The rubber-metal pipe construction is selfsealing, so that no
additional gaskets are required.
Installation
Houses, hospitals and schools, in heating plants and in water/hot
water areas. Can also be installed for use with mild acids and lyes
in industrical plants.
Material
Rubber parts EPDM without inserts
Only manufactured in EPDM.
WRG TüV-Approval Certificate obtained for installation
in heating plants with 100°C/110°C and 10/6 bar only for Type
60-WRG. Type 60 WRG-2 without TüV-Approval Certificate.

Typ 61 ist ein flachgewellter Gummikompensator,
der sich auszeichnet durch seine zylindrischen
Anschlussteile. Dadurch ist eine einfache, schnelle
Schellenmontage m.glich.
Aufbau
Flachgewellter Gummik.rper mit Tr.gereinlagen, beiderseits
zylindrische Enden zur Schellenbefestigung.
Hinweis
Sonderabmessungen sind m.glich. Rohrleitungsau.endurchmesser
muss glatt sein （evtl. Schwei.n.hte überschleifen） und
sauber sein. Balg nicht einisolieren oder anstreichen. Breite
Schellen verwenden （min. 20 x 1）. Bis 2 bar k.nnen je Seite eineSchelle angesetzt werden. über 2 bar empfehlen wir zwei je Seite
oder GBS-Schellen 25/30 x 1 mm.

Type 61 is a low convolution rubber expansion joint
distinguished by its cylindrical spigot connections,
which make simple, quick hose-clamp fitting
possible.
Construction
Low convolution rubber body with carrier inserts, cylindrical at both
ends for hose-clamp fixing.
Note
Special measurements are available. Pipe line outside
diameter must be clean and smooth （grind down any welding
seams）. Do not insulate or paint the bellows. Use broad clamps
（min. 20 x 1）. Up to 2 bar one clamp per side can be used.
Over 2 bar we recommend two clamps per side or GBS clamps
25/30 x 1 mm.

WILLBRANDT PTFE Expansion Joint Type 80
Typ 80 ist ein PTFE-Faltenbalgkompensator, der
aus einem extrudierten PTFE-Rohr und Druck
hei. verformt wurde, so dass die Umlenkung
der Materialfasern ohne Unterbrechung erfolgt.
Aufbau
Reiner PTFE-Balg mit au.enliegenden Edelstahlstützringen,
beiderseits PTFE-B.rdel mit hinterliegendem Stahlflansch aus
S235JRG2/RSt 37-2 mit Rostschutzanstrich und integrierter
Verspannung （gebohrt nach EN 1092-1/PN 10）.
Type 80 is a PTFE expansion joint hotformed
form extruded PTFE tubing under pressure, to
form continuous convolutions.
Construction
Pure PTFE bellows with external stainless steel support rings,
PTFE profiles on both sides with steel backing-flange in material
S235JRG2/RSt 37-2 with rost proof painting and integral restraint
（drilled acc. to EN 1092-1/PN 10）.

Beschreibung
Das Leitrohr wird mit B.rdelflansch in konischer Form gefertigt, um
die Dehnungswerte des Kompensators m.glichst nicht einzuschr.nken.
Die Leitrohrl.nge ist abh.ngig von der Kompensatorenl.nge und der
aufzunehmenden Dehnung （Richtwert: Kompensatorl.nge - 15 mm
entspricht Leitrohrl.nge）.
Einbauhinweis
Es sind unbedingt Dichtungen einzusetzen.
Baulücke entsprechend dem Leitblech gestalten.
This should always be installed if the media are
heavily abraived or if strong turbulence has to
be avoided.
Decription
The deflector sleeve is made in conical form with edge flange,
so that the movements of the expansion joint are not to much reduce.
The deflector sleeve length depends on the length of the expansion
joint and the movement to be absorbed （Standard value: expansion
joint length - 15 mm gives the deflector sleeve length）.
Installation note
It is important to install the internal sleeve with a sealing.

Folie ausgekleidet, um eine gute Standfestigkeit zu
erreichen.
Eignung
Die PTFE-Auskleidung ist geeignet für alle gebr.uchlichen Flüssig-
keiten; die W.rmebest.ndigkeit ist zu beachten. Der Kompensatordarf nur im überdruckbereich （bis max. 6 bar） eingesetzt werden -
kein Vakuum zul.ssig.
Für Vakuum ist ein Spezial-PTFE-Stützring erforderlich, jedoch nur
für DN 50 - DN 1000 m.glich.

Beschreibung
Diese Zubeh.rteile schützen den Gummikompensator gegen
Flammeinwirkung bis 800°C bei einer Dauer von 30 Minuten.
Bei Verwendung an Bord von Schiffen, bei Feuerl.schleitungen
in Betriebsgeb.uden oder bei Druckerh.hungsanlagen entsprechen
die flammfesten Schutzhüllen in Verbindung mit dem
WILLBRANDT Kompensator den Forderungen der
Klassifikationsgesellschaften.
Einbauhinweise
Die Montage des Kompensators erfolgt in bekannter Weise.
Die Schutzhüllen werden nachtr.glich umgelegt und decken
den Kompensator einschlie.lich der angrenzenden Rohrleitungsflansche
ab. Die Funktion des WILLBRANDT Kompensators wird
nicht behindert; durch die bis auf die Rohrleitung übergreifende
Abdeckung kann das volle Bewegungsspiel des Kompensators
aufgenommen werden. Sondergr..en auch für die Abdeckung
einschlie.lich Verspannung sind auf Wunsch lieferbar.

Description
These accessories protect the rubber expansion joint against
the effects of flames up to 800°C for a period of 30 minutes.
WILLBRANDT expansion joints together with their flame proof
protective covers satisfy the requirements of the Classification
Society for use on board of ships, for fire-extinguishing piping
in operational buildings or pressure booster plants.
Installation notes
Installing the expansion joint is carried out as follows. The protective
cover is put on after installation and covers both the expansion joint
and the neighbouring pipe flange. Operation of WILLBRANDT
expansion joint is not hindered; since the covering laps over on to
the pipe, the expansion joint’s full movement range can be utilised.
Special sizes for the cover plus restraints are also available on request.

Allgemeine Verkaufsbedingungen （Fassung 04/2009）
I.
Geltung/Angebote
1.
Diese Allgemeinen Verkaufsbedingungen gelten für alle - auch zukünftigen - Vertr.ge und
sonstigen Leistungen. Bedingungen des K.ufers verpflichten uns auch dann nicht, wenn wir
ihnen nicht nochmals nach Eingang bei uns ausdrücklich widersprechen.
2.
Unsere Angebote sind freibleibend. Vereinbarungen, insbesondere mündliche Nebenabreden,
Zusagen, Garantien und sonstige Zusicherungen unserer Verkaufsangeslten, werden erst
durch unsere schriftliche Best.tigung verbindlich.
3.
Ma.gebend für die Auslegung von Handelsklauseln wie z.B. .EXW“, .FOB“ und .CIF“ sind die
INCOTERMS in ihrer jeweils neuesten Fassung.
II.
Preise
1.
Unsere Preise verstehen sich, soweit nichts anderes vereinbart, ab unserem Betrieb ausschlie.lich
Verpackung, jeweils zuzüglich Mehrwertsteuer.
2.
Wird die Ware verpackt geliefert, so berechnen wir die Verpackung zum Selbstkostenpreis; im
Rahmen der gesetzlichen Regelungen nehmen wir von uns gelieferte Verpackungen zurück,
wenn sie uns vom K.ufer in angemessener Frist frachtfrei zurückgegeben werden.
III.
Zahlung und Verrechnung
1.
Unsere Rechnungen sind f.llig innerhalb 14 Tagen mit 2 % Skonto, innerhalb 30 Tagen netto,
jeweils ab Rechnungsdatum. Die Zahlung hat innerhalb dieser Fristen so zu erfolgen, dass
uns der für den Rechnungsausgleich erforderliche Betrag sp.testens am F.lligkeitstermin zur
Verfügung steht.
2.
Rechnungen über Betr.ge unter 50,00 EUR （Euro） sowie für Montagen, Reparaturen, Formen
und Werkzeugkostenanteile sind jeweils sofort f.llig und netto zahlbar.
3.
Von uns bestrittene oder nicht rechtskr.ftig festgeslte Gegenforderungen berechtigen den
K.ufer weder zur Zurückbehaltung noch zur Aufrechnung.
4.
Bei überschreiten des Zahlungszieles, sp.testens ab Verzug, sind wir berechtigt, Zinsen in
H.he der jeweiligen Banks.tze für überziehungskredite zu berechnen, mindestens aber Zinsen
in H.he von 8 Prozentpunkten über dem Basiszinssatz. Die Geltendmachung eines weiteren
Verzugsschadens bleibt vorbehalten.
5.
Wird nach Vertragsschluss erkennbar, dass unser Zahlungsanspruch durch mangelnde Leistungsf.higkeit
des K.ufers gef.hrdet wird, stehen uns die Rechte aus § 321 BGB （Unsicherheitseinrede）
zu. Wir sind dann auch berechtigt, alle unverj.hrten Forderungen aus der laufenden
Gesch.ftsverbindung mit dem K.ufer f.llig zu slen und die Einziehungserm.chtigung
gem.. Ziff. V / 5 zu widerrufen. Bei Zahlungsverzug sind wir zudem berechtigt, die Ware nach
Ablauf einer angemessenen Nachfrist zurück zu verlangen sowie die Weiterver.u.erung und
Weiterverarbeitung gelieferter Ware zu untersagen. Die Rücknahme ist kein Rücktritt vom Vertrag.
Alle diese Rechtsfolgen kann der K.ufer durch Zahlung oder Sicherheitsleistung in H.he
unseres gef.hrdeten Zahlungsanspruchs abwenden. Die Vorschriften der Insolvenzordnung
bleiben von den vorstehenden Regelungen unberührt.
6.
Ein vereinbartes Skonto bezieht sich immer nur auf den Rechnungswert ausschlie.lich Fracht
und setzt den vollst.ndigen Ausgleich aller f.lligen Verbindlichkeiten des K.ufers im Zeitpunkt
der Skontierung voraus.
IV.
Lieferzeiten
1.
Lieferfristen und -termine sind eingehalten, wenn bis zu ihrem Ablauf der Liefergegenstand
unseren Betrieb verlassen hat.
2.
Unsere Lieferverpflichtung steht unter dem Vorbehalt richtiger und rechtzeitiger Selbstbelieferung,
es sei denn, die nicht richtige oder versp.tete Selbstbelieferung ist durch uns verschuldet.
3.
Lieferfristen verl.ngern sich in angemessenem Umfang bei Ma.nahmen im Rahmen von Arbeitsk.mpfen,
insbesondere Streik und Aussperrung sowie bei Eintritt unvorhersehbarer Hindernisse,
die au.erhalb unseres Willens liegen, soweit solche Hindernisse nachweislich auf
die Fertigung oder Ablieferung des Liefergegenstandes von erheblichem Einfluss sind. Dies
gilt auch, wenn die Umst.nde bei Vorlieferanten eintreten. Derartige Umst.nde teilen wir dem
K.ufer unverzüglich mit. Diese Regelungen gelten entsprechend für Liefertermine. Wird die
Durchführung des Vertrages für eine der Parteien unzumutbar, so kann sie insoweit vom Vertrag
zurücktreten.
V.
Eigentumsvorbehalt
1.
Alle gelieferten Waren bleiben unser Eigentum （Vorbehaltsware） bis zur Erfüllung s.mtlicher
Forderungen aus der Gesch.ftsverbindung, gleich aus welchem Rechtsgrund, einschlie.lich
der künftig entstehenden oder bedingten Forderungen.
2.
Be- und Verarbeitung der Vorbehaltsware erfolgen für uns als Hersler im Sinne von § 950
BGB, ohne uns zu verpflichten. Die verarbeitete Ware gilt als Vorbehaltsware im Sinne der
Ziff. V / 1. Bei Verarbeitung, Verbindung und Vermischung der Vorbehaltsware mit anderen
Waren durch den K.ufer steht uns das Miteigentum an der neuen Sache zu im Verh.ltnis des
Rechnungswertes der Vorbehaltsware zum Rechnungswert der anderen verwendeten Waren.
Erlischt unser Eigentum durch Verbindung oder Vermischung, so übertr.gt der K.ufer uns
bereits jetzt die ihm zustehenden Eigentumsrechte an dem neuen Bestand oder der Sache im
Umfang des Rechnungswertes der Vorbehaltsware und verwahrt sie unentgeltlich für uns. Die
hiernach entstehenden Miteigentumsrechte gelten als Vorbehaltswaren im Sinne der Ziff. V/1.
3.
Der K.ufer darf die Vorbehaltsware nur im gew.hnlichen Gesch.ftsverkehr zu seinen normalen
Gesch.ftsbedingungen und solange er nicht in Verzug ist, ver.u.ern, vorausgesetzt, dass
die Forderungen aus der Weiterver.u.erung gem.. den Ziff. V / 4 bis V / 6 auf uns übergehen.
Zu anderen Verfügungen über die Vorbehaltsware ist er nicht berechtigt.
4.
Die Forderungen des K.ufers aus der Weiterver.u.erung der Vorbehaltsware werden bereits
jetzt an uns abgetreten. Sie dienen in demselben Umfange zur Sicherung wie die Vorbehaltsware.
Wird die Vorbehaltsware vom K.ufer zusammen mit anderen, nicht von uns verkauften
Waren ver.u.ert, so gilt die Abtretung der Forderung aus der Weiterver.u.erung nur in H.he
des Weiterver.u.erungswertes der jeweils ver.u.erten Vorbehaltsware. Bei der Ver.u.erung
von Waren, an denen wir Miteigentumsanteile gem.. Ziff. V / 2 haben, gilt die Abtretung der
Forderung in H.he dieser Miteigentumsanteile.
5.
Der K.ufer ist berechtigt, Forderungen aus der Weiterver.u.erung bis zu unserem jederzeit
zu l.ssigen Widerruf einzuziehen. Wir werden von dem Widerrufsrecht nur in den in Ziff. III /
5 genannten F.llen Gebrauch machen. Auf unser Verlangen ist der K.ufer verpfl ichtet, seine
Abnehmer sofort von der Abtretung an uns zu unterrichten - sofern wir das nicht selbst tun - und
uns die zur Einziehung erforderlichen Auskünfte und Unterlagen zu geben.
6.
Von einer Pf.ndung oder anderen Beeintr.chtigung durch Dritte muss der K.ufer uns unverzüglich
benachrichtigen.
7.
übersteigt der Wert bestehender Sicherheiten die gesicherten Forderungen insgesamt um
mehr als 50 v. H., sind wir auf Verlangen des K.ufers insoweit zur Freigabe von Sicherheiten
nach unserer Wahl verpflichtet.
VI.
Ausführung der Lieferungen
1.
Mit der übergabe der Ware an einen Spediteur oder Frachtführer, sp.testens jedoch mit Verlassen
des Lagers oder - bei Streckengesch.ften - des Lieferwerkes geht die Gefahr bei allen
Gesch.ften, auch bei franko- und frei-Haus-Lieferungen, auf den K.ufer über. Pflicht und Kosten
der Entladung gehen zu Lasten des K.ufers. Für Versicherung sorgen wir nur auf Weisung
und Kosten des K.ufers.
3.
Bei Abrufauftr.gen sind wir berechtigt, die gesamte Beslmenge geschlossen herzuslen
bzw. herslen zu lassen. Etwaige .nderungswünsche k.nnen nach Erteilung des Auftrages
nicht mehr berücksichtigt werden, es sei denn, dass dies ausdrücklich vereinbart wurde. Abruftermine
und -mengen k.nnen, soweit keine festen Vereinbarungen getroffen wurden, nur
im Rahmen unserer Lieferungs- oder Herslungsm.glichkeiten eingehalten werden. Wird die
Ware nicht vertragsgem.. abgerufen, sind wir berechtigt, sie nach Verstreichen einer angemessenen
Nachfrist als geliefert zu berechnen.
VII.
Haftung für M.ngel
1.
Die inneren und .u.eren Eigenschaften der Ware, insbesondere deren Güte, Sorte und Ma.e
bestimmen sich nach den vereinbarten, mangels Vereinbarung nach den bei Vertragsschluss
geltenden DIN- und EN-Normen, mangels solcher nach übung und Handelsbrauch. Bezugnahmen
auf Normen und .hnliche Regelwerke sowie Angaben zu Güten, Sorten, Ma.en, Gewichten
und Verwendbarkeit der Waren, Angaben in Zeichnungen und Abbildungen sowie Aussagen
in Werbemitn sind keine Zusicherungen oder Garantien, soweit sie nicht ausdrücklich
und schriftlich als solche bezeichnet sind. Dasselbe gilt auch für Konformit.tserkl.rungen und
entsprechende Kennzeichen wie CE und GS. Eignungs- und Verwendungsrisiken obliegen
dem K.ufer.
2.
Ist die Ware mangelhaft, stehen dem K.ufer die M.ngelrechte nach Ma.gabe der gesetzlichen
Regeln des BGB zu mit den Einschr.nkungen, dass die Wahl zwischen Nachbesserung und
Nacherfüllung uns zusteht sowie dass geringfügige （unerhebliche） M.ngel den K.ufer lediglich
zur Herabsetzung des Kaufpreises （Minderung） berechtigen.
3.
Für die Untersuchung der Ware und Anzeige von M.ngeln gelten die gesetzlichen Vorschriften
des HGB mit der Ma.gabe, dass uns M.ngel der Ware schriftlich anzuzeigen sind.
4.
Aufwendungen im Zusammenhang mit der Nachbesserung und Ersatzlieferung （Nacherfüllung）
übernehmen wir im gesetzlichen Umfang und auch nur insoweit, als sie, verglichen mit
dem Wert, den die Ware ohne den Mangel h.tte, und der Bedeutung des Mangels für uns
zumutbar （verh.ltnism..ig） sind. Ausgeschlossen sind Kosten des K.ufers im Zusammenhang
mit dem Ein- und/oder Ausbau der mangelhaften Sache, für die Selbstbeseitigung eines Man-
gels sowie Mehraufwendungen, die daraus entstehen, dass sich die verkaufte und gelieferte
Ware an einem anderen als dem vereinbarten Erfüllungsort befindet.
5.
Solange der K.ufer uns nicht Gelegenheit gibt, uns von dem Mangel zu überzeugen, er insbesondere
auf Verlangen die beanstandete Ware oder Proben davon nicht zur Verfügung slt,
kann er sich auf M.ngel der Ware nicht berufen.
6.
Weitere Ansprüche sind nach Ma.gabe der Ziff. VIII ausgeschlossen. Dies gilt insbesondere
für Ansprüche auf Ersatz von Sch.den, die nicht an der Ware selbst entstanden sind （Mangelfolgesch.den）.
VIII. Allgemeine Haftungsbegrenzung und Verj.hrung
1.
Wegen Verletzung vertraglicher und au.ervertraglicher Pflichten, insbesondere wegen Unm.glichkeit,
Verzug, Beratungsverschuldens, Verschulden bei Vertragsanbahnung und unerlaubter
Handlung haften wir - auch für unsere leitenden Angeslten und sonstigen Erfüllungsgehilfen
- nur in F.llen des Vorsatzes und der groben Fahrl.ssigkeit, beschr.nkt auf den bei Vertragsschluss
voraussehbaren vertragstypischen Schaden.
2.
Diese Beschr.nkungen gelten nicht bei schuldhaftem Versto. gegen wesentliche Vertragspflichten,
soweit die Erreichung des Vertragszwecks gef.hrdet wird, in F.llen zwingender
Haftung nach dem Produkthaftungsgesetz, bei Verletzung des Lebens, des K.rpers oder der
Gesundheit und auch dann nicht, wenn und soweit wir M.ngel der Sache arglistig verschwiegen
oder deren Abwesenheit garantiert haben. Die Regeln über die Beweislast bleiben hiervon
unberührt.
3.
Soweit nichts anderes vereinbart, verj.hren vertragliche Ansprüche, die dem K.ufer gegen
uns aus Anlass oder im Zusammenhang mit der Lieferung der Ware entstehen, ein Jahr nach
Ablieferung der Ware. Diese Frist gilt auch für solche Waren, die entsprechend ihrer üblichen
Verwendungsweise für ein Bauwerk verwendet wurden und dessen Mangelhaftigkeit verursacht
haben, es sei denn, diese Verwendungsweise wurde schriftlich vereinbart. Davon unberührt
bleiben unsere Haftung aus vors.tzlichen und grob fahrl.ssigen Pflichtverletzungen,
schuldhaft herbeigeführten Sch.den des Lebens, des K.rpers und der Gesundheit sowie die
Verj.hrung von gesetzlichen Rückgriffsansprüchen. In den F.llen der mangelhaften Nacherfüllung
beginnt die Verj.hrungsfrist nicht erneut zu laufen.
IX.
Urheberrechte
1.
An Kostenanschl.gen, Entwürfen, Zeichnungen und anderen Unterlagen behalten wir uns das
Eigentums- und Urheberrecht vor; sie dürfen Dritten nur im Einvernehmen mit uns zug.nglich
gemacht werden. Zu Angeboten geh.rige Zeichnungen und andere Unterlagen sind auf Verlangen
zurückzugeben.
2.
Sofern wir Gegenst.nde nach vom K.ufer übergebenen Zeichnungen, Modellen, Mustern oder
sonstigen Unterlagen geliefert haben, übernimmt dieser die Gew.hr dafür, dass Schutzrechte
Dritter nicht verletzt werden. Untersagen uns Dritte unter Berufung auf Schutzrechte insbesondere
die Herslung und Lieferung derartiger Gegenst.nde, sind wir - ohne zur Prüfung der
Rechtslage verpflichtet zu sein - berechtigt, insoweit jede weitere T.tigkeit einzuslen und bei
Verschulden des K.ufers Schadenersatz zu verlangen. Der K.ufer verpflichtet sich au.erdem,
uns von allen damit in Zusammenhang stehenden Ansprüchen Dritter unverzüglich freizuslen.
X.
Versuchsteile, Formen, Werkzeuge
1.
Hat der K.ufer zur Auftragsdurchführung Teile beizuslen, so sind sie frei Produktionsst.tte
mit der vereinbarten, andernfalls mit einer angemessenen Mehrmenge für etwaigen Ausschuss
rechtzeitig, unentgeltlich und mangelfrei anzuliefern. Geschieht dies nicht, so gehen hierdurch
verursachte Kosten und sonstige Folgen zu seinen Lasten.
2.
Die Anfertigung von Versuchsteilen einschlie.lich der Kosten für Formen und Werkzeuge geht
zu Lasten des K.ufers.
3.
Eigentumsrechte an Formen, Werkzeugen und sonstigen Vorrichtungen, die zur Herslung
beslter Teile erforderlich sind, richten sich nach den getroffenen Vereinbarungen. Werden
derartige Vorrichtungen vor Erfüllung der vereinbarten Ausbringungsmenge unbrauchbar, so
gehen die für den Ersatz erforderlichen Kosten zu unseren Lasten. Wir verpflichten uns, derartige
Vorrichtungen mindestens zwei Jahre nach dem letzten Einsatz bereitzuhalten.
4.
Für vom K.ufer beigeslte Werkzeuge, Formen und sonstige Fertigungsvorrichtungen beschr.nkt
sich unsere Haftung auf die Sorgfalt wie in eigener Sache. Kosten für Wartung und
Pflege tr.gt der K.ufer. Unsere Aufbewahrungspflicht erlischt - unabh.ngig von Eigentumsrechten
des K.ufers - sp.testens zwei Jahre nach der letzten Fertigung aus der Form oder dem
Werkzeug.
XI.
Erfüllungsort, Gerichtsstand und anzuwendendes Recht
1.
Erfüllungsort für unsere Lieferungen ist unser Betrieb. Gerichtsstand für Kaufleute ist der Sitz
unserer Hauptniederlassung. Wir k.nnen den K.ufer auch an seinem Gerichtsstand verklagen.
2.
Für alle Rechtsbeziehungen zwischen uns und dem K.ufer gilt in Erg.nzung zu diesen Bedingungen
deutsches Recht unter Einschluss der Vorschriften des übereinkommens der Vereinten
Nationen vom 11.04.1980 über Vertr.ge über den internationalen Warenkauf （UNCITRAL）,
dies mit der Ma.gabe, dass insbesondere auch die Haftungsbeschr.nkungen des Abschnitts
VIII gelten.
2.
Wir sind zu Teillieferungen in zumutbarem Umfang berechtigt. Bei Anfertigungsware sind Mehr- XII. Ma.gebende Fassung
und Minderlieferungen bis zu 10 % der abgeschlossenen Menge zul.ssig.
In Zweifelsf.llen ist die deutsche Fassung dieser Allgemeinen Verkaufsbedingungen ma.gebend.
General Conditions of Sale （Version 04/2009）
I.
Validity/Offers
1.
These General Conditions of Sale （“Conditions”） shall apply to all present and future contracts
and for other services rendered. The conditions of the Buyer do not oblige us to anything, even
if, after receipt, they are not specifically declined by us.
2.
Our offers are subject to change without notice. Any agreements, especially oral collateral agreements,
promises, guaranties and other assurances given by our sales staff shall be binding
only once they have been confirmed by us in writing.
3.
Commercial terms such as .EXW“, .FOB“ and .CIF“ shall be interpreted in accordance with the
INCOTERMS in their current version.
II.
Prices
1.
Our prices are free our fi rm, excluding packaging, unless something else is agreed upon. Value
Added Tax （VAT） will be added.
2.
If the items are to be delivered packaged, we will charge the packaging at our cost. We will take
back the packaging delivered according to statutory provisions if it is returned to us freight free
within a reasonable period of time.
III.
Payment and Set-Off
1.
Our invoices are due within 14 days with a 2 % cash discount or within 30 days net, beginning
with the date of the invoice. The payment must take place within this period so that the amount
involved is available to us at the latest on the due date.
2.
Invoices for amounts under EUR 50.00 as well as for assemblies, repairs, forms and tool costs
are due immediay without deductions.
3.
Counterclaims which are contested or have not yet been legally determined to be fi nal and
conclusive do not give the Buyer the right to withhold or offset payments.
4.
When payment is not on time, at the latest by default, we are authorized to invoice interest at
the level of the appropriate bank rate for overdraft credits, at a minimum, however, at 8 percentage
points over the basic interest rate. A claim for further damages due to this delay remains
reserved.
5.
If it becomes apparent after conclusion of the contract that payment of our claims is in danger
due to inability of the Buyer to pay, then we retain the rights under § 321 BGB （Objections Due
to Uncertainty）. We shall also be authorised to make use of rights under § 321 BGB （German
Civil Code） and to make due any and all of our non statute-barred accounts receivable resulting
from the same legal relationship, and we may revoke the collection power as set forth in subparagraph
V/5 of these Conditions. In addition, when payment is delayed we are entitled, after
expiration of an appropriate extension period, to take back the goods delivered and to request
that they not be sold or processed. This taking back shall not constitute a withdrawal from the
contract. The Buyer can avoid all of these legal consequences by payment or giving security
in the amount of our endangered receivables. The regulations of the insolvency law are not
affected by the above.
6.
Any cash discount agreed to always applies to the value of the invoice excluding freight and has
a prerequisite that all amounts due by the Buyer have been paid at the time of the discount.
IV.
Delivery Deadlines
1.
Delivery deadlines and dates are considered to have been met when the goods have left our
firm by the time due.
2.
Our commitment to deliver is subject to our correct and timely self-delivery unless we are res
ponsible for the deficient or late self-delivery.
3.
Any agreed delivery terms shall be reasonably extended in case of labour disputes, in particular
in case of strikes and lockouts as well as if unforeseeable obstacles occur which are beyond
our influence, provided such obstacles considerably influence the manufacture or delivery of
the goods. The same shall apply if such circumstances occur with our upstream supplier. We
will notify the Buyer immediay of such circumstances. These provisions shall likewise apply
to delivery dates. Should such circumstances make the performance of the contract unreasonable
for one of the contractual parties, then such party shall have the right to rescind from the
contract.
V.
Retention of Title
1.
All goods delivered by us remain our property （Reserved Property） until all claims arising from
our business contacts have been settled, regardless of the origin of the claims and including
future or conditional claims.
2.
With regard to processing or manufacturing of the Reserved Property, we shall be deemed to
be manufacturer within the meaning of § 950 BGB （German Civil Code） without committing
us in any way. The processed or manufactured goods shall be regarded as Reserved Property
within the meaning of subparagraph V/1 of these Conditions. When the Buyer processes,
combines or mixes the reserved goods with other goods, we retain co-ownership in the new
product in the relation of the invoice value of the reserved goods to the invoice value of the
other goods produced. If our property disappears due to combination or mixture, the Buyer
transfers to us already his property rights in the new goods or items in relationship to the
invoice value of the reserved goods and will retain them for us without cost. The resulting
co-ownership counts as Reserved Property in the meaning of subparagraph V/1 of these
Conditions.
3.
The Buyer may re-sell the Reserved Property only in his normal business relations and to
normal business conditions as long as he is not in arrears and only on the condition that the
claims from the related sale are transferred to us according to subparagraphs V/4 to V/6 of
these Conditions. He is not authorized to use the Reserved Property for any other purpose.
4.
The claims of the Buyer from the further sale of the Reserved Property count already as transferred
to us. They count, in the same relationship, as security as do the Reserved Property. If
the Reserved Property is sold by the Buyer together with other goods not sold by us, the assignment
of the claim from the further sale is only in the amount of the sales value of the Reserved
Property. With the sale of goods on which we have co-ownership according to subparagraph
V/2 of these Conditions, the assignment of the claim is in the amount of this co-ownership.
5.
The Buyer is authorized to collect claims from the further sale until we exercise our rights of
revocation at any time. This right of revocation will only be used in those cases listed in subparagraph
III/5 of these Conditions. At our request, the Buyer is required to inform his customers
immediay about the cession to us – as far as we do not do it ourselves – and to provide us
with the necessary information and details to accomplish collection.
6.
The Buyer must inform us immediay about any seizure or other adverse actions on the part
of third parties.
7.
Should the value of the existing securities exceed the value of the secured claims by more than
50 %, we are required to release securities of our choice upon demand of the Buyer.
VI.
Performance of Deliveries
1.
When the goods are handed over to a forwarding agent or a carrier, at the latest, however,
when the goods leave the warehouse or – with direct sales – the supplying plant, the risk is
transferred to the Buyer in all cases, even those which are prepaid or free house deliveries. The
Buyer must bear the responsibilities and costs of unloading. We shall obtain insurance only at
the instruction of and at the Buyer’s costs.
2.
We are permitted to make partial deliveries in reasonable amounts. With goods manufactured
to the Buyer’s specification, deliveries are permitted which are up to 10 % more or less than the
quantity ordered.
3.
With call contracts, we are permitted to produce or have the total quantity produced at one
time. Any changes desired cannot be considered after the order has been given unless this has
been specifically agreed to. Unless there is a firm agreement, call up times and quantities can
only take place according to our supply or manufacturing capabilities. Should the goods not be
called according to the contract, after a reasonable additional period of time we are authorized
to invoice them as having been delivered.
VII.
Liability for Defects
1.
Any of the interior and exterior properties of the goods, in particular to their quality, grade and
measures will follow the agreed standards and, in default of such an agreement, such DIN- and
EN-standards applicable at the time of the conclusion of the contract, and in absence of such
standards the trade use and practice. Any reference to standards and to similar guidelines as
well as to quality, grade, measure, weight and usage of the goods, any information given in
drawings and illustrations as well as any predictions given in our advertising material shall not
be regarded as representations or guaranties, unless we have expressly referred to them in
writing. The same shall apply to declarations of conformity and to similar characteristics such as
CE and GS signs. The Buyer shall bare any risks as to the suitability and usage of the goods.
2.
In case the goods are deficient, the Buyer shall be entitled to his statutory rights under the BGB
（German Civil Code） subject to the conditions that we shall be entitled to choose between repair
and delivery of substitute goods and that only minor （insignificant） defects shall limit the Buyer’s
rights to reduce the purchase price （reduction）.
3.
As to the Buyer’s obligations to examine the goods and to notify us of any defects, the statutory
of the HGB （German Commercial Code） subject to the condition that he has to notify us in
writing.
4.
We will bear any costs in connection with repair and substitute deliveries to the statutory extent
only and only to the extent as such costs, in comparison with the value of the non-defective
goods and to the importance of the defect, are just and reasonable （proportionate）. We shall
not bear any of the Buyer’s costs in connection with the assembling and/or disassembling of
the defective goods nor for the self-repair of a defect nor for such supplementary costs resulting
from the fact that the sold and delivered goods are at a place other than the agreed place of
delivery.
5.
Unless the Buyer gives us the possibility to convince ourselves of the defects, especially if,
when requested, he does not make the defective goods or samples thereof available to us,
he cannot claim that the goods are defective.
6.
In accordance with subparagraph VIII of these Conditions, additional claims are not acceptable.
This applies in particular to claims for damages which did not occur to the goods themselves
（consequential damages）.
VIII. General Limitations of Liability and Statute of Limitations
1.
We are liable for breach of contractual and non-contractual duties, especially those due to
impossibility, delay, false advice, culpa in contrahendo and tortuous acts – also those of our managerial
staff and other personnel – only in those cases of wrongful intent or gross negligence.
Our liability shall in any case be limited to the loss foreseeable at the time of the conclusion of
the contract and to damages characteristic for the type of contract in question.
2.
The aforesaid restriction shall not apply to such cases where we breach our fundamental contractual
obligations and where such a breach of contract will endanger the contractual purpose;
it shall neither pertain to such cases where our liability is compulsory under statutory law, either
under the German Product Liability Act （Produkthaftungsgesetz）, or with regard to damages
to life, to the body or to health, or where we have wilfully concealed any defects of the goods
or guaranteed their absence. Any statutory rules regarding the burden of proof shall remain
unaffected by the aforesaid.
3.
Unless otherwise agreed to any contractual claims which the Buyer is entitled to in connection
with the delivery of the goods shall fall under the statute of limitations within a period of one
year after the goods have been delivered to the Buyer. This limitation period shall also apply to
such goods which, according to their normal usage, have been used for constructional works
related to real estate property and which have caused damage within this construction, unless
this usage has been agreed upon in writing. This period shall not apply to our liability resulting
from breaches of contract caused by our wrongful intent or by our gross negligence; neither
to such injuries of life, body and health caused by our fault, nor to the limitation periods of any
statutory recourses. Our substitute deliveries shall not cause the renewal of the initial limitation
period.
IX.
Copyrights
1.
We reserve our property and our copyrights of all cost estimates, drafts, drawings and other
supporting papers. They may be made available to third parties only after our agreement. Drawings
and other supporting documents relating to offers must be returned at our request.
2.
So far as we have delivered items according to drawings, models, samples or other supporting
documents supplied by the Buyer, he takes over the liability that protected rights of third parties
have not been damaged. If third parties, with reference to protected rights, do not permit the
manufacturing and delivery of those types of items, we are permitted – without being required to
check the legal situation – to stop all further activities and to request damages when the Buyer
is liable. In addition, the Buyer is responsible to immediay hold us free from all claims of third
parties in this connection.
X.
Test Parts, Forms, Tools
1.
If the Buyer is required to provide parts to complete the order, they must be provided delivered
free to the place of production in the required quantity, or with an additional quantity to cover
any scrap, on time, without costs and free of any defects. If this does not occur, any resulting
costs and other consequences will be for his account.
2.
The construction of experimental parts, including the costs for forms and tools are for the account
of the Buyer.
3.
Property rights for forms, tools and other devices necessary for the construction of the ordered
parts are according to the agreement made. Should these types of devices become unusable
before the agreed upon quantities have been produced, the costs for replacement devices will
be taken over by us. We promise to keep such devices available for a minimum period of two
years after their last usage.
4.
Our liability for tools, forms and other manufacturing devices provided by the Buyer is limited to
the care which we would normally apply in our own affairs. The Buyer takes over the costs for
maintenance and repair. Our safekeeping responsibility ends – independent of the ownership
rights of the Buyer – at the latest two years after the last manufacturing using the form or tool.
XI.
Place of Performance, Jurisdiction and Applicable Law
1.
The place of performance for our deliveries is our office. The place of jurisdiction between
“merchants” （Kaufleute） is the location of our company headquarters. We may, however, also
sue the Buyer at his place of jurisdiction.
2.
All legal relationships between ourselves and the Buyer shall be governed by the laws of the
Federal Republic of Germany supplementing these Conditions, including the provisions of the
United Nations Convention on Contracts for the International Sale of Goods from 11.04.1980
（CISG）.
XII.
Applicable Version
In case of doubt, the German version of these General Conditions of Sale shall prevail.
